These Terms and Conditions apply to photography, video, commercial content, social media content, art direction, and related creative services provided by Danilo Pasquali to companies, agencies, and professional clients.
Any specific terms written in a quotation, contract, or email agreement will take priority over these general terms.
Each project may be based on a written quotation describing the work, price, production costs, payment terms, delivery times, and usage rights.
Unless otherwise stated, quotations are valid for 30 days.
Any work not included in the original quotation may be charged separately.
A project is considered confirmed when one of the following takes place:
If a deposit is required, the booking is considered confirmed only after the deposit has been received.
When required, the usual deposit is approximately 25% of the agreed base fee.
The exact amount may vary depending on the project.
If the project is cancelled for reasons related to the Client, or because of circumstances outside Danilo Pasquali’s control after reasonable efforts have been made to solve the problem, the deposit may be retained in whole or in part.
Any refund will be considered according to the specific circumstances of the project.
Unless otherwise agreed, the final balance is payable:
Taxes, VAT, or other applicable charges will be specified in the quotation or invoice.
In case of late payment, further work or deliveries may be suspended until payment is received.
Usage rights are granted only after full payment of all invoices related to the project.
Before full payment, the Client may not publish, reproduce, distribute, advertise, or commercially use the delivered material unless Danilo Pasquali has given written permission.
Delivery of previews, low-resolution files, watermarked files, or final files does not automatically grant usage rights before full payment.
Cancellation conditions may vary depending on the project.
As a general rule:
The Client remains responsible for expenses already incurred and not recoverable, including travel, accommodation, equipment rental, assistants, locations, permits, and other production costs.
Work already completed may also be charged.
Requests to change the agreed date will be considered depending on availability and the circumstances of the project.
If the Client requests a change, any additional costs caused by the rescheduling may be charged to the Client.
If Danilo Pasquali cannot complete the project because of illness, emergency, force majeure, or another serious unexpected circumstance, the following options may be discussed with the Client:
Neither party will be responsible for delays or cancellation caused by circumstances reasonably outside their control.
Examples may include severe weather, illness, transport cancellation, strikes, government restrictions, location problems, or similar events.
Both parties should make reasonable efforts to find an alternative solution.
Travel, accommodation, flights, transport, parking, equipment rental, assistants, stylists, make-up artists, locations, permits, and other production costs are not automatically included in the professional fee.
Any included or additional costs will normally be specified in the quotation.
Additional shooting time, production days, editing, revisions, or services outside the agreed scope may be charged separately.
Where possible, additional costs will be discussed with the Client before the extra work is carried out.
Delivery times are agreed depending on the project.
They may be defined in the quotation, before production, or during the shoot.
Changes requested by the Client may affect the delivery date.
The method used to select final images or video material will be agreed with the Client.
Editing, retouching, colour grading, and other post-production work will be carried out according to the agreed creative direction.
RAW files, original unedited files, project files, source files, and unused footage are not included in the final delivery unless specifically agreed in writing.
If the Client requires these materials, separate terms and fees may apply.
Corrections required because the delivered work does not match the agreed instructions are included before final delivery.
Additional changes caused by a change of mind, new creative direction, or Client indecision may be charged separately.
If new photography, filming, or substantial additional work is required, a new quotation may be provided.
Danilo Pasquali will normally retain photographs, videos, delivered files, project files, and related production material for 6 months from the final delivery date.
After 6 months, the material may be permanently deleted without further notice.
The Client is responsible for downloading and safely storing all delivered files and maintaining their own backup copies.
Danilo Pasquali cannot guarantee permanent storage or recovery in the event of technical failure, data loss, or circumstances outside reasonable control.
Longer storage may be agreed separately and may involve an additional fee.
The Client should check the delivered material and report any problem within 7 days of delivery.
Any complaint should clearly explain what does not correspond to the agreed work.
After this period, the work may be considered accepted, subject to any mandatory rights provided by applicable law.
Unless otherwise agreed in writing, copyright and intellectual property rights in photographs, videos, and other creative work remain with Danilo Pasquali or the relevant rights holder.
The Client receives only the usage rights specifically agreed for the project.
Receiving the files does not mean acquiring the copyright.
The quotation or written agreement may specify where and how the Client may use the material, including:
Any use outside the agreed licence may require additional permission and an additional fee.
The Client may not transfer or license the material to third parties for independent use unless this has been agreed in writing.
If agencies, partners, affiliated companies, or other organisations need to use the material, this should be included in the agreed usage rights.

If a credit is not practical because of the format or platform, this may be agreed on a case-by-case basis.
Unless otherwise agreed because of confidentiality, embargo, or other restrictions, Danilo Pasquali may use completed work for:
For confidential or unpublished projects, the publication date may be agreed with the Client.
Unless otherwise agreed, the Client is responsible for obtaining all necessary permissions and releases from models, employees, talent, collaborators, and other identifiable people appearing in the project.
The releases must cover the intended commercial use of the material.

Related costs are normally the responsibility of the Client unless included in the quotation.
Where the project includes art direction, concept development, moodboards, treatments, storyboards, or other creative development, the scope of this work will be defined in the quotation.
These materials may not be used separately or given to third parties for execution unless this has been agreed in writing.
The Client is responsible for providing accurate information, instructions, materials, and requirements.
Any important technical, legal, branding, or commercial requirement should be communicated before production.
Late changes may result in additional costs or revised delivery times.
Unless otherwise required by mandatory law or agreed in writing, these Terms and Conditions are governed by the laws of the Federal Republic of Germany.
Any specific jurisdiction or court may be defined in the quotation or contract.
Specific project conditions may be modified or supplemented by quotation, email, contract, order confirmation, or another written agreement.
If one provision of these Terms is found to be invalid, the remaining provisions will continue to apply as far as permitted by law.
